1. Definitions
“Software” means Honeymesh Enterprise components, including proprietary orchestration, analytics, dashboards, integrations, and related binaries.
“Open Source Components” means portions of Honeymesh licensed under the Apache License 2.0.
“Licensee” means the individual or legal entity that has purchased or been granted a commercial license.
“Documentation” means official manuals, guides, and technical documentation provided by Network-Decode.
2. License Grant
Subject to the terms of this Agreement and payment of applicable fees, Network-Decode grants Licensee a non-exclusive, non-transferable, non-sublicensable license to:
Install and use the Software
Operate the Software in production environments
Use the Software solely for internal business or authorized security operations
This license applies only to the Enterprise Software, not to open-source components.
3. Scope of Use
Licensee may use the Software:
On systems owned or controlled by Licensee
On customer systems only with explicit authorization
For defensive security, monitoring, and threat detection purposes
Licensee may not use the Software for:
Unauthorized surveillance
Illegal interception or monitoring
Offensive or malicious activity
4. Open Source Components
Certain components are licensed separately under the Apache License 2.0.
Nothing in this Agreement restricts rights granted under the Apache License 2.0.
Open-source components remain governed exclusively by their respective licenses.
5. Restrictions
Licensee shall not:
Reverse engineer, decompile, or disassemble the Enterprise Software
Modify or create derivative works of proprietary components
Circumvent license enforcement or usage controls
Redistribute, resell, or sublicense the Software
Remove copyright, trademark, or license notices
6. Ownership
Network-Decode retains all right, title, and interest in:
The Enterprise Software
Proprietary algorithms, designs, and workflows
Trademarks, branding, and logos
No ownership rights are transferred under this Agreement.
7. Support & Maintenance
Support services, updates, and SLAs are provided only if explicitly included in the applicable order form or service agreement.
Network-Decode may:
Release updates or patches at its discretion
Modify or discontinue features
8. Data & Privacy
The Software operates primarily in a local-first manner.
Network-Decode does not collect telemetry by default.
Licensee is responsible for:
Securing exported logs or analytics
Compliance with applicable data protection laws
9. Confidentiality
Each party agrees to protect confidential information disclosed under this Agreement and not to disclose it to third parties without consent, except as required by law.
10. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
FITNESS FOR A PARTICULAR PURPOSE
MERCHANTABILITY
NON-INFRINGEMENT
SECURITY OR ERROR-FREE OPERATION
No security tool guarantees complete protection.
11. Limitation of Liability
To the maximum extent permitted by law, Network-Decode shall not be liable for:
Data loss
Business interruption
Security breaches
Indirect, incidental, or consequential damages
Total liability shall not exceed the fees paid by Licensee in the twelve (12) months preceding the claim.
12. Indemnification
Licensee agrees to indemnify and hold harmless Network-Decode from claims arising from:
Misuse of the Software
Violation of laws or regulations
Unauthorized deployment or monitoring
13. Term & Termination
This Agreement is effective upon purchase or installation and continues until terminated.
Network-Decode may terminate this Agreement if:
License terms are violated
Payment obligations are breached
Illegal or abusive use is detected
Upon termination:
Licensee must cease use of the Software
Destroy or uninstall all copies
14. Audit Rights
Upon reasonable notice, Network-Decode may audit license compliance solely to verify usage within licensed limits.
Audits shall not unreasonably interfere with Licensee’s operations.
15. Governing Law
This Agreement is governed by the laws of the United States and applicable local jurisdiction.
16. Entire Agreement
This Agreement constitutes the entire agreement regarding the Enterprise Software and supersedes prior agreements.
Any amendments must be in writing and agreed upon by both parties.
